SECTION I: GENERAL SMALL BUSINESS TERMS

The following terms apply to all clients and standard business operations.

1. SERVICES & ACCESS

303 Blue provides data integration, predictive modeling, and visualization services. You are responsible for maintaining the security of your account credentials. You are liable for all activity occurring under your account.


2. DATA OWNERSHIP & PRIVACY

  • Your Data: You retain all ownership rights to the raw data you upload. You grant us a limited license to process this data solely to provide the services.
  • Aggregated Data: We reserve the right to use anonymized, de-identified data for benchmarking, system improvements, and algorithmic training.
  • Confidentiality: Both parties agree to protect proprietary information and trade secrets shared during the term of service.

3. FEES AND PAYMENTS

Services are billed according to your selected plan or Statement of Work (SOW). 303 Blue reserves the right to suspend service for non-payment. Data from accounts delinquent for more than 60 days may be permanently deleted.


4. LIMITATION OF LIABILITY

303 Blue is not liable for indirect, incidental, or consequential damages, including loss of profits, data loss, or business interruption. Our total liability is capped at the amount paid by you in the 12 months preceding the claim.



SECTION II: HIGH-RISK INDUSTRY PROVISIONS

The following terms apply to clients in the Cannabis, Psychedelics, and Wellness sectors. These terms supersede Section I in the event of a conflict.


1. COMPLIANCE & LEGALITY

Client represents and warrants that they are in compliance with all local and state regulations. Client acknowledges that while certain activities (e.g., Cannabis or Psychedelics) may be legal under state law, they may remain illegal under federal law. 303 Blue provides data services only; we do not facilitate the sale or distribution of controlled substances.


2. REGULATORY TERMINATION ("BLAST SHIELD")

303 Blue reserves the right to terminate any service agreement immediately and without penalty if, in our sole discretion, the legal, regulatory, or banking landscape of the Client’s industry poses a risk to 303 Blue’s operations, reputation, or ability to maintain its own financial accounts.


3. NON-CLINICAL DISCLAIMER

303 Blue provides data analytics only. We do not provide medical, clinical, or therapeutic advice. Client is solely responsible for ensuring patient data privacy (HIPAA) and for all clinical outcomes or treatment decisions made using the data.


4. FINANCIAL & BANKING RISK

Client remains liable for all fees regardless of federal intervention, seizure of assets, or loss of banking services. 303 Blue does not accept payment "in-kind." If 303 Blue is forced to use specialized high-risk payment processors to handle Client's account, Client agrees to pay any associated surcharges or increased transaction fees.


5. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless 303 Blue from any claims, losses, or regulatory fines arising from the Client’s business activities, including but not limited to law enforcement actions, federal raids, or licensing revocations.



GOVERNING LAW

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any legal action must be filed in the courts of the State of Colorado.
